1. Agreement to Terms

By accessing or using Investra AI ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

Please read these terms carefully before using our services. These Terms constitute a legally binding agreement.

2. Description of Service

Investra AI is an AI-powered real estate investment analysis platform designed to help investors research, analyze, and evaluate real estate investment opportunities. Our services include:

  • Property Search & Discovery: Search for properties across the United States using our AI-powered search engine
  • AI Investment Analysis: Receive AI-generated property analysis including cash flow projections, ROI calculations, and investment recommendations
  • Market Data & Trends: Access market analytics, trends, forecasts, and neighborhood data
  • Portfolio Management: Track and manage your saved properties and investment portfolio
  • Financial Calculators: Use advanced calculators for cash flow, Fix & Flip, BRRRR, and other investment strategies
  • Comparable Sales Analysis: Research recent sales and comparable properties in target areas
  • Export & Reporting: Generate PDF and CSV reports for investment analysis
  • AI Chat Assistant: Interact with our AI assistant for real estate investment guidance

3. User Accounts

Registration

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Account Restrictions

You may not:

  • Create multiple accounts for the same person
  • Share your account credentials with others
  • Transfer or sell your account to another party
  • Use another person's account without permission

Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected billing cycle). By subscribing, you authorize us to charge your designated payment method for all applicable fees. Billing occurs on the same date each billing period.

Refund Policy

We offer a 14-day money-back guarantee for new paying subscribers. If you are not satisfied with our service, you may request a full refund within 14 days of your first payment. After this period, payments are non-refundable. Cancellations take effect at the end of the current billing period, and you will retain access until that time.

Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, with prorated charges applied. Downgrades take effect at the start of your next billing period.

5. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Platform, accounts, or systems
  • Transmit any malware, viruses, worms, or other harmful code
  • Scrape, crawl, spider, or data mine the Platform without authorization
  • Use automated tools, bots, or scripts to access the Platform without permission
  • Interfere with or disrupt the Platform's operation or servers
  • Impersonate any person or entity, or misrepresent your affiliation
  • Circumvent, disable, or interfere with security features
  • Use the Platform to compete with us or for commercial data harvesting
  • Resell, redistribute, or sublicense access to the Platform
  • Share your account credentials or allow others to use your account
  • Exceed your plan's usage limits through technical manipulation

6. Data Accuracy, Third-Party Data, and Property Identification

Our Platform aggregates, transforms, and displays data from numerous third-party sources, public records, proprietary datasets, AI models, and user-submitted content. These sources include, without limitation, Multiple Listing Service (MLS) feeds, on-market and off-market real-estate listing aggregators, county and municipal tax assessors, recorder-of-deeds offices, public federal economic and demographic datasets, satellite imagery providers, open-source mapping providers, rental data providers, and third-party AI and large-language- model providers. While we take reasonable commercial steps to validate and normalize this data, we expressly make no representations or warranties regarding its accuracy, completeness, timeliness, currency, reliability, or fitness for any particular purpose.

Without limiting the generality of the foregoing, you expressly acknowledge and agree that any or all of the following data elements may be incorrect, outdated, misidentified, mismatched, or otherwise inaccurate at any given time, and that Investra bears no liability for any such inaccuracy:

  • Property identification and addresses — including but not limited to street addresses, unit numbers, APN/parcel numbers, listing identifiers, GPS coordinates, geocoding, and map pin placements; one property's data may be displayed under another property's listing or address
  • Property specifications — including beds, baths, square footage, lot size, year built, construction type, number of units, zoning, HOA status, and amenities
  • Listing information — including list price, days on market, listing status (active, pending, contingent, withdrawn, sold, off-market), MLS status, and listing history
  • Photos and media — including which photos belong to which property; photos from one listing may appear on another
  • Ownership and tax data — including owner of record, mailing address, tax assessed value, tax bill, delinquency status, lien status, and transfer history
  • Valuations and financial estimates — including third-party automated valuation models (AVMs), third-party rent estimates, AI-generated rent estimates, ARV estimates, cap-rate calculations, cash-flow projections, cash-on-cash and other return metrics, DSCR, sensitivity analyses, and AI investment scores
  • Market and neighborhood data — including median prices, inventory, DOM, sale-to-list ratios, vacancy rates, appreciation forecasts, employment and wage statistics, population figures, school ratings, crime statistics, walk/transit scores, and flood-zone designations
  • Off-market and distress data — including pre-foreclosure, tax-delinquent, absentee-owner, vacancy, motivation-score, and skip-trace information
  • AI-generated output — including chat responses, deal summaries, market commentary, forecasts, and any text, numbers, grades, or recommendations produced by artificial intelligence; AI output may be fabricated, hallucinated, outdated, or contain reasoning errors

Your Covenant to Independently Verify

You covenant and agree that you will not rely solely on the Platform for any investment, purchase, lease, financing, or other material decision. Before committing capital or executing any binding agreement, you will independently verify all material facts through the following means, as applicable and as a prudent investor would:

  • Engaging a licensed real estate broker or agent in the property's jurisdiction
  • Obtaining a title search, title insurance, and full chain-of-title review
  • Performing a physical inspection of the property with licensed inspector(s)
  • Reviewing the official MLS listing and recorded public records directly from the county recorder, tax assessor, and building department
  • Obtaining independent appraisals, rent surveys, and comparable-sales analyses
  • Consulting with a qualified CPA, tax attorney, real estate attorney, licensed financial advisor, and/or licensed mortgage professional
  • Verifying zoning, permits, code-compliance status, and any liens, encumbrances, or restrictions

Your decision to act on any Platform data, including any decision to purchase, sell, lease, finance, renovate, or hold a property, is made solely at your own risk. You expressly waive any claim against Investra arising from errors, omissions, misidentifications, mismatches, or delays in any data displayed on the Platform, including but not limited to financial losses resulting from acting on incorrect property addresses, specifications, valuations, forecasts, or AI-generated analysis.

6a. User Acknowledgment and Assumption of Risk

By using the Platform, you acknowledge and agree that:

(i) real estate investing involves substantial risk, including the potential loss of the entire amount invested; (ii) past performance, backtested results, and AI-generated forecasts are not guarantees of future results; (iii) the Platform is a research and analysis tool only, and is not a substitute for professional due diligence or licensed professional advice; (iv) you are a sophisticated user capable of evaluating the merits and risks of any investment; (v) you alone are responsible for all consequences of any decision you make, including any decision informed in whole or in part by the Platform; and (vi) you assume all risk of loss arising from any inaccuracy, omission, delay, or error in data presented by the Platform.

7. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and other materials on the Platform are owned by Investra AI or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

  • Reproduce, distribute, modify, or create derivative works without permission
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our trademarks, logos, or brand elements without written consent
  • Reverse engineer, decompile, or disassemble any software

You retain ownership of any content you submit to the Platform. By submitting content, you grant us a non-exclusive, royalty-free license to use, display, and process that content for the purpose of providing our services.

8. AI-Generated Content

Our Platform uses artificial intelligence to provide property analysis, market insights, and investment recommendations. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or biases
  • AI analysis should be used as a starting point, not a final decision
  • AI cannot account for all factors relevant to investment decisions
  • AI predictions and projections are estimates and not guarantees
  • You should always perform your own due diligence and consult professionals

9. Disclaimer of Warranties

Important Notice

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or secure
  • Results obtained from the Platform will be accurate or reliable
  • Any errors or defects will be corrected
  • The Platform is free of viruses or harmful components

Investment decisions should be made after consulting with qualified financial advisors, real estate professionals, and legal counsel. Past performance does not guarantee future results. Real estate investments involve substantial risk, including the risk of loss of principal.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVESTRA AI TECHNOLOGIES, INC. AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, THE "INVESTRA PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE INVESTRA PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM OR RELATED TO:

  • Loss of profits, revenue, or anticipated savings
  • Loss of data, information, or business opportunities
  • Any investment, purchase, sale, lease, financing, renovation, or holding decision made in reliance on the Platform, in whole or in part
  • Errors, omissions, mismatches, misidentifications, or inaccuracies in property data — including addresses, APNs, unit numbers, coordinates, photos, specifications, valuations, rent estimates, ownership records, tax data, listing status, or any other property or market data displayed on the Platform
  • AI-generated content that is inaccurate, hallucinated, fabricated, outdated, or otherwise incorrect
  • Third-party data that is inaccurate, stale, or unavailable — including data from MLS providers, listing portals, county records, public federal economic and demographic datasets, mapping providers, and AI model providers
  • Loss of physical property, improvements, personal property, or tenants
  • Legal claims brought by sellers, buyers, tenants, lenders, or other third parties
  • Tax assessments, penalties, or interest
  • Business interruption, loss of goodwill, or reputational harm

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE INVESTRA PARTIES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID INVESTRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP APPLIES REGARDLESS OF THE NUMBER OF CLAIMS AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND INVESTRA; WITHOUT THEM, THE PLATFORM WOULD NOT BE OFFERED AT CURRENT PRICES OR AT ALL.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you. In such jurisdictions, the Investra Parties' liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Investra Parties from and against any and all third-party claims, actions, proceedings, damages, liabilities, losses, fines, judgments, costs, and expenses (including reasonable attorneys' fees and expert fees) arising out of or related to:

  • Your access to or use of the Platform
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any investment, purchase, sale, lease, financing, or other decision you make based in whole or in part on Platform data, AI output, or analysis — including any claim by a seller, buyer, tenant, lender, co-investor, or other third party
  • Any reliance by you or any party claiming through you on inaccurate, outdated, mismatched, or misidentified property data (including incorrect addresses, valuations, ownership, listing status, or photos)
  • Any content you submit to the Platform, including any claim that such content infringes or misappropriates a third-party right
  • Your negligent, reckless, fraudulent, or willful conduct
  • Your contact with property owners, tenants, or other parties identified through the Platform (including through skip-trace features), and your compliance or noncompliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state privacy laws, or other applicable solicitation laws

Investra reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Investra in asserting any available defenses.

12. Third-Party Services

Our Platform integrates with or may contain links to third-party services, including:

  • Payment processing services
  • Authentication and security services
  • AI and machine learning services
  • Mapping and location services
  • Real estate data providers

We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

13. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by:

  • Posting the updated Terms on the Platform
  • Updating the "Last Updated" date
  • Sending email notification for significant changes

Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Investra AI.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.
